To Start Up a Start-up | Callagy Law - Business Law Blog

In this blog post, Callagy Law will focus on topics to help people better their businesses. Approximately  90% of start-up companies fail.   With such a high failure rate, it is no surprise that the relatively few businesses that succeed tend to thrive—at least for awhile.  So, is there a secret to success?  Success is probably simpler than the statistics might suggest, but, as with anything, an entrepreneur must pay attention to what works and what does not.  There are about twenty-eight million small businesses in the United States.  Most will not succeed much longer, but a small percentage will thrive and continue to thrive.


 


One trait of a successful business—and it might seem obvious–is to create a product that fits the current market.  The most common reason new companies fail is that they make a product no one actually wants.  The owner/businessman might think he or she is offering a desirable product or service, but in reality it is a product or service he thought the public wanted.  In other words, it was a product or service he or she wanted and then they assumed the rest of the buying public thought the same way.


 


It is also important for the owner to work on the business, rather than in the business. Successful entrepreneurs understand that doing everything themselves might be necessary at the very beginning of a start-up, but business growth comes with proper staffing. An entrepreneur/owner acts as the captain of the ship and steers it in the right direction.  If the business owner works too much in the business, he or she will not be working on the business, that is, they will fail to ready the business for future success.


 


With a team of determined personnel, with a leader setting the direction and steering the company toward the goals set, a new business has a much greater of chance success. Versatility among the personnel is also important, because versatility involves mindset. Startup teams that are ready to change products, adjust plans, market differently, study other industries, or even start from scratch, are the ones that will make it.

I am filled with gratitude for all of the support that you’ve given during this first month of Why Not.


 

I am incredibly thankful for all of our clients for Callagy Law that have entrusted us with helping them through their legal challenges. From our doctors, to our hospitals, surgical centers, other healthcare entities to our business owners and entrepreneurs to our wonderful people that have entrusted us with legal challenges, with all my heart, thank you.


 

For some of you, I’ve had the privilege of working very closely with you on your life’s goals and daily ongoing challenges, for this level of relationship and trust, I am eternally grateful.


 

I am also so thankful to all of our team members at Callagy Law. Everyone has contributed in some way to helping our clients, and one another grow and achieve so many successes. For those that truly want to play a huge game, it is only the beginning of the beginning. Thank you to everyone.

Why Not #1, October 22, 2015 | Sean Callagy


Today I launched the “Why Not?” daily huddle, available on YouTube.  The purpose of these 3- to 10-minute morning sessions is to reach those who believe there is, or should be, more to life and want more money, more time, or more fulfillment in their lives – which in my experience includes just about everyone!  The concept of a daily huddle is one which I have used for several years in my own law firm and because it has proven so effective, I am confident you will find it to be just as valuable, especially if you make it an ongoing habit to tune in.


It’s been said that the way we start anything goes a very long way to determining how we finish.  With that in mind, I ask you to consider how most people start their day.  Typically, it’s by catching up on the news from the previous night and – even more typically – that news is deflating.  Tragedy, conflict, and dysfunction served on a bed of negativity, followed by a few minutes of weather and sports, then topped with a cheery, “Have a great day!”  “Ah,” some say, “but that’s what people want to see!”  I strongly disagree.  I believe that launching your day with joy, hope, passion, encouragement and clarity is an infinitely better way to begin your daily walk.


Make no mistake, this daily huddle is designed to set your day on that better trajectory from the very beginning – one that will serve your needs and desires – and that will result in a better destiny.  You may wonder what it is that qualifies me to bring you this huddle and the high expectations I want you to have for it.  Briefly, I have studied the art and science of producing optimal results for over 30 years.  Beginning in high school to apply what I was learning, I excelled academically and, as captain of Columbia University’s baseball team, athletically before becoming an attorney and certified business coach.  Within two years of leaving law school I had defied the advice of naysayers by leaving a position with a prestigious firm to start my own, and already had 40 employees.  Today that number has grown to over 100, yet I also coach baseball and lead a very fulfilling, well-balanced life.  I have achieved my dreams because of the daily decisions I have made, and those decisions are founded on three beliefs: 1) our destiny is driven by our daily actions, 2) our daily actions are driven by our daily thoughts, and 3) our daily thoughts are based on how we feel each day.


I want to hear from you, and specifically I want to know two things.  First, what do you want?  Better relationships?  More business?  Less stress?  And second, what is keeping you from having what you want?  You may find the second question a bit more difficult to answer, but give it a shot.  Then email those answers to me at scallagy@callagylaw.com.  The Why Not daily huddle is here to address those answers, just as I address them with clients and associates, some of whom own $30 million dollar businesses yet wrestle with all kinds of challenges and are searching for the answers that will put them back in control of their lives.  Every huddle will be different (occasionally we will have guests) but their common denominator will be to provide another useful, positive launch to your day.

Immigration Law Primer for Businesses  

Businesses of all sizes must be aware of the various Federal laws surrounding the employment of immigrants.  Failure to do so may result in significant penalties from the government and disruption of your business.


 


The I-9 Form


 


No matter who you are hiring, you must have any newly hired employee complete a standard form called the “I-9” form The I-9 form is designed to verify the employment eligibility of employees.  Employers are required to review certain forms of identification, such as a passport, driver’s license, or Social Security card, from the new employee and record the information on the appropriate form of identification on the form.  This form has to be filled out immediately after the employee is hired.


 


Some employers will have applicants fill out the I-9 form during the application process to accelerate the hiring process.  However, this is not advisable because the I-9 form is designed to be filled in after the employee is hired.  Also, if the employee ends up not taking the job for whatever reason, then the employer has collected sensitive personal information unnecessarily which has to be managed.


 


Interestingly, you do not then file the I-9 with the Federal government, but you must keep it on file either three years after hiring the employee or one year after termination, whichever is later. The Federal Immigration and Customs Enforcement agency may audit the records of a business’ I-9 forms to ensure that the employer is checking the identity of its new employees.


 


Foreign Labor Certification


 


Hiring foreign workers can be a complicated process for businesses.  An employer must seek what is called a “labor certification” from the U.S. Department of Labor.  Once that is obtained, then the employer must petition on behalf of the foreign worker to obtain a visa from Citizenship and Immigration Services (also known as USCIS).  The employer is responsible for processing these applications and ensuring that they are done accurately and in compliance with the law.


 


Employers must ensure that they meet all of the necessary regulations regarding employment law and immigration law.  These rules are not simple to navigate so employers must take care to ensure compliance.


 


Natural Origin Non-Discrimination


 


Federal law, and laws of many local jurisdictions, prohibit discrimination based on national origin.  National origin discrimination occurs when a person is treated negatively because he or she is, or believed to be, from a particular country or geographic region.  National origin discrimination can also include discrimination based on an accent or ethnicity.  So, an authorized foreign worker cannot be discriminated against based on immigrant status or citizenship.  Also, employers cannot create policies that apply to all employees, but have a harmful effect on people of a certain national origin and has no rational business justification.  Employers must be “blind” to national origin like other protected categories such as gender and race.

Starting a Business the Right Way


 


Starting a business is one of the biggest decisions that many people will ever make, so it is important to make sure it is done right.  Ensuring that all the proper paperwork and licenses are in place is important to ensure that there are no distractions or unexpected headaches that will distract you from actually running your business.


 


Alphabet Soup of Business Names


 


Businesses are often classified by the way in which they are legally organized under state law.  States allow businesses to operate in a variety of legal manners.  An old fashioned business model that is the “sole proprietor”.  This is historically common, but is going out of fashion as that form tied liability of the company directly to the owner, or the “proprietor”, so many business owners opt now for other business formations to avoid personal liability for business problems.


 


The other major traditional type of business is a corporation.  Corporations are generally required for large entities but smaller businesses also use this form as well.


 


Additionally, partnerships are a popular traditional business form.  In this form, a group of individuals jointly own a business and share equally in the profits and losses of the company.  Many partnerships have adopted a limited liability model to avoid personal liability, and are called “LLPs” for short.


 


A popular business form among smaller businesses is the Limited Liability Company or LLC.  This is often called a hybrid of the partnership and corporate model in that the LLC takes some of the more informal management procedures of a partnership and combines them with limited liability nature of the corporate form.


 


Determining the right type of business form for your business’ needs is a key decision that you need to make when you are forming your business.


 


Licensing Your Business


 


Licensing requirements vary significantly from locality to locality depending on your type of business.   It is key to obtain the appropriate license from any local tax office or licensing board in order to stay in compliance with legal requirements.


 


Filing the Right Documents


 


Each state and locality has its own rules about what businesses have to do to legally operate a business.  And those rules vary on the exact location of a business, the type of business (accountants have to follow vastly different rules than ice cream shops!), and the size of the business.


 


Researching information on your state  county, or city government’s website (be it Arizona, New York, or New Jersey), can be a helpful start to put you on the right track.  But, the information provided by the state or local government may not answer all of your questions or even lead to additional questions.
